1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Realz Solutions ("Company," "we," "us," or "our") governing your access to and use of our website, AI-powered services, SaaS platforms, web development, mobile app development, AI automation solutions, consulting services, and all related products and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use our Services.

2. Services Overview

Realz Solutions provides the following services:

• AI-Powered SaaS Platforms: Development and deployment of software-as-a-service applications with integrated AI capabilities
• Web Development: Custom website design, development, and maintenance services
• Mobile App Development: Native and cross-platform mobile application development
• AI Automations: Intelligent workflow automation, process optimization, and AI-driven business solutions
• Multi-AI Agent Systems: Complex AI agent orchestration and coordination systems

3. Account Registration and Access

To access certain Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Service Agreements and Project Scope

For custom development projects and consulting services:

• Specific project scope, deliverables, timelines, and fees will be outlined in separate Service Agreements or Statements of Work (SOW)
• Changes to project scope require written approval and may result in additional fees
• Project timelines are estimates and may be subject to change based on complexity and client feedback
• Client is responsible for providing timely feedback, approvals, and necessary information
• Delays caused by client inaction may result in timeline extensions and additional costs

5. Fees and Payment

5.1 Payment Terms

• All fees are specified in your Service Agreement or SOW
• Payment is due according to the payment schedule outlined in your agreement
• We accept payment via credit card, bank transfer, or other approved methods
• Late payments may incur interest charges and/or suspension of services
• For SaaS subscriptions, fees are billed on a recurring basis (monthly or annually)

5.2 Refunds

All fees are non-refundable except as required by law or explicitly stated in your Service Agreement. SaaS subscription refunds may be available within a specified trial period if applicable.

5.3 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental charges, which are your responsibility.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, functionality, AI models, algorithms, software code, designs, graphics, logos, and materials provided through our Services are owned by or licensed to Realz Solutions and are protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Client-Owned Materials

You retain ownership of any content, data, materials, or information you provide to us. By providing such materials, you grant us a non-exclusive, worldwide license to use, reproduce, modify, and display the materials solely for the purpose of providing Services to you.

6.3 Work Product Ownership

Upon full payment of all fees, ownership of custom-developed deliverables (excluding our proprietary frameworks, tools, and pre-existing intellectual property) will transfer to you as specified in your Service Agreement.

7. AI Services and Data Usage

7.1 AI Model Training

Our AI services may use your data to train, improve, and optimize AI models. We will:

• Anonymize and aggregate data used for model training
• Implement security measures to protect sensitive information
• Not share your proprietary data with third parties without consent
• Allow you to opt out of data usage for training purposes where technically feasible

7.2 AI Output Accuracy

AI-generated outputs are provided "as is" without guarantees of accuracy, completeness, or reliability. You are responsible for reviewing and validating all AI outputs before use in critical applications or decision-making.

7.3 Third-Party AI Services

We may use third-party AI services (e.g., OpenAI, Google Cloud AI, AWS AI services) to provide our Services. Your use of our Services indicates agreement to these third-party terms and privacy policies.

8. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or harmful code
• Engage in unauthorized access, hacking, or security breaches
• Interfere with or disrupt our Services or servers
• Reverse engineer, decompile, or disassemble our software or AI models
• Use our Services for illegal, fraudulent, or malicious purposes
• Violate intellectual property rights
• Spam, phish, or engage in unsolicited communications
• Create deepfakes, misinformation, or harmful AI-generated content
• Bypass usage limits, access controls, or security measures

9. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical difficulties or system failures
• Third-party service provider issues
• Force majeure events beyond our control

Support availability and response times are outlined in your Service Agreement or subscription tier.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Confidential information includes trade secrets, business strategies, technical data, client information, and any information marked as confidential. This obligation survives termination of the agreement.

11. Warranties and Disclaimers

11.1 Limited Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.

11.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALZ SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE OUR SERVICES
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• AI MODEL ERRORS OR INACCURACIES
• THIRD-PARTY SERVICES OR CONTENT
• ANY OTHER MATTER RELATING TO OUR SERVICES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Realz Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of third-party rights.

14. Termination

We may suspend or terminate your access to our Services:

• For violation of these Terms
• For non-payment of fees
• If we cease operations or discontinue Services
• At our discretion with notice for SaaS subscriptions

You may terminate your subscription or Service Agreement according to the terms specified in your agreement. Termination does not relieve you of payment obligations for services already rendered.

15. SMS and Text Messaging Terms

If you opt in to receive SMS messages:

• You consent to receive text messages from us via automated systems
• Message frequency varies based on your engagement
• Message and data rates may apply
• You can opt out at any time by replying STOP
• Carriers are not liable for delayed or undelivered messages
• We use compliant A2P messaging services (e.g., Twilio)

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Your Jurisdiction] without regard to conflict of law principles. Any disputes will be resolved through:

• Good faith negotiation between parties
